Board of Governors

The Board of Governors of the Engineering Undergraduate Society, or BoG, is an administrative body tasked with ensuring the legal and financial security of the society. Created in the Winter 2017 Referendum in response to the rapidly expanding student society, the Board is still finding it's boundaries with EUS Council, primary roles, etc.
The Board of Governors is the entity legally responsible for the state of the Engineering Undergraduate Society; this includes, but is not limited to:

• Validating bylaws and policies of the society
• Final approval of all budgets
• Holding the execs accountable
• Direct oversight of EUS Committees with more than $50,000 in expenses (such as OAP, Frosh, etc.)

Constitutional Definition

The role of the Board of Governors is outlined in Title IV of the EUS Constitution.

Membership

According to Article 13 of the EUS Constitution: The Board of Governors shall be composed of:

The President;

The VP Finance;

One (1) other member of the Executive Committee;

The Engineering Senator(s);

No less than six (6) and no more than ten (10) Members-at-Large;

No less than one (1) and no more than three (3) Alumni.

The Board Chairman is chosen among the above members by simple majority vote and will remain chair for the duration of 6 months. The chairman does not have a vote, except in the event of a tie.

In the latest update to the constitution the VP Student Life was also added as a member with the idea of representing design teams and clubs directly to the board.

Selection Timeline

Members-at-Large (MaL) will be selected in three waves. The first occurs in September, for terms starting on November 1st, in which no more than three (3) and no less than five (5) MaLs will be selected via a selection committee composed of:

One Member-at-Large of the Board of Governors

One EUS Executive

One member of the EUS Council, not part of the previously mentioned groups

The second selection occurs in April, for terms start on May 1st, in which no less than one (1) and no more than three (3) MaLs will be selected by the aforementioned selection committee. Finally, two (2) MaLs shall be selected by EUS Council from its members. Their term shall start on May 1.

Alumni selections will occur as needed based on available positions.

All terms have a duration of one (1) calendar year.

Structure

Initially, the Board of Governors was constructed in a manner in which general meetings were to occur bi-weekly. Each Member-at-Large was a assigned a mandate and was to work on and complete their mandate during their term. After an internal analysis by the Governance Restructuring Committee (GRC), it was decided that a new structure was needed to improve efficiency within the Board. In January 2021, the Board of Governors transitioned into their new structure in which individual mandates were eliminated and, instead, members were assigned to subcommittee teams. These subcommittees would focus on one or two projects in hopes of increasing project completion and collaboration.

As of the restructuring, the Board of Governors shall be constructed of the following subcommittees:

Each Member-at-Large will be assigned to one of the Board of Governors subcommittees. Subcommittees meet weekly, except on every third week in which a general Board of Governors meeting will take place.

Subcommittee Definitions

Finance Subcommittee - The Finance Subcommittee shall review and manage the fiscal status of the EUS while taking on projects related to the financial dealings of the EUS.
Institutional Health Subcommittee - The Institutional Health Subcommittee shall act as a steering mechanism for the Board. Responsibilities include review of governance documents, addressing concerns brought by EUS Members or groups, and assessing the impacts of decisions, projects, and ongoing events of the EUS
Special Projects Subcommittee - The Special Projects Subcommittee shall execute projects of diverse scales in order to improve the EUS as a whole. Such projects may resemble those previously taken on by individual Board Members as mandates but will likely be larger in scale. Major projects undertaken by this subcommittee must be ratified by EUS Council
